Terms of Service

Version 1.0 — Effective May 11, 2026

These Terms of Service (“Terms”) govern your access to and use of the Opwise.ai, Inc. software platform (“Service”), operated by Opwise.ai, Inc. (“we,” “us,” or “our”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Account Setup

New accounts are set up after you contact us. We will work with you to provision access, define the right plan, and confirm the commercial terms that apply to your account.

2. Accounts and Access

You must provide accurate information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at sales@opwise.ai if you suspect unauthorized use.

Each account is for a single organization. Creating multiple accounts to bypass commercial terms is prohibited.

3. Acceptable Use

You agree not to:

  • Use the Service to store, transmit, or process content that violates applicable law.
  • Attempt to gain unauthorized access to any part of the Service or its underlying infrastructure.
  • Reverse engineer, decompile, or otherwise attempt to derive the source code of the Service.
  • Use the Service in any way that could damage, disable, or impair its operation.
  • Circumvent or disable any security or access controls in the Service.

4. AI-Generated Content

The Service includes AI-assisted features that may generate quality records, corrective action plans, validation packages, and other outputs. AI-generated outputs are drafts for human review, not final regulated records. You are solely responsible for reviewing, validating, and approving any AI-generated content before it is used in a regulated context. Opwise.ai, Inc. makes no warranty as to the accuracy, completeness, or regulatory sufficiency of AI-generated outputs.

5. Intellectual Property

The Service and all related technology, content, and trademarks are owned by Opwise.ai, Inc. and are protected by applicable intellectual property laws. These Terms do not transfer any ownership to you.

Your data uploaded to the Service remains your property. You grant Opwise.ai, Inc. a limited license to store and process your data solely to provide the Service.

6. Data and Privacy

Our use of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

7. Termination

You may cancel your account at any time. We may suspend or terminate your access if you violate these Terms, fail to pay applicable fees, or for any other reason with reasonable notice. On termination, your workspace transitions to read-only for 30 days, after which it may be permanently deleted.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SUITABLE FOR YOUR SPECIFIC REGULATORY REQUIREMENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPWISE.AI, INC. WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law provisions. Any disputes will be resolved in the state or federal courts located in Delaware.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by a prominent notice in the Service. Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
